Job Description:
Our client, a successful a financial services company is seeking a General Counsel to join their team. This is a new permanent role and is a fantastic opportunity to join a growing company where you can add your own stamp and grow the role longer term. You will play a key role in ensuring that the company complies with all laws and regulations and provide legal advice as needed.
This exciting role will suit a dynamic, ambitious individual who is ready to step in to a senior level, supporting boards and Directors.
Essential Skills/Experience:
- Ambitious, an excellent communicator and one who prefers working in the same way as the client.
- Leading from the front and being hands on in their approach.
- A strong legal background, particularly in a large private or public firm
- Company secretarial experience
- A track record of building a strong internal legal and CoSec function and delivering high quality legal input.
- Team management and exposure to Boards/Committees.
- Debt and equity transaction and reporting exposure.
Other desired characteristics:
- Experience of working in an FCA regulated environment.
- Knowledge of FCA rules and procedures, particularly from the Conduct of Business handbook
- Experience of working with private equity firms and public debt markets would also be useful.
Core Responsibilities:
- Presenting strategic and practical legal advice to company Directors, Board Members and business unit heads as required in connection with company matters.
- Oversight of corporate compliance with UK financial services regulation, with particular emphasis on wealth and investment.
- Managing relationships with 3rd party legal services providers.
- Legal input to the Board and executives on any external dispute or litigation.
- Preparing documents and evidence as required to justify for the record the company's decisions or actions.
- Legal oversight of financing documentation for both private and public debt markets.
- Oversight of the legal aspects of any future shareholder liquidity event including preparing for and executing corporate due diligence, documentation, and any public statements, both in respect of either the private or public markets as relevant.
- Negotiation and oversight of all significant contracts entered by the organisation.
- Helping the company deal with any contract adherence and disputes, include client service transfer contract.
- Working with the team to ensure that employee contracts, incentive schemes and keeping the employee handbook up to date and relevant, helping provide HR advice with employee disputes.
- Responsibility for maintaining the statutory books of the companies including keeping all registers up to date, making Companies House filings, organising Board meetings, agendas, and minutes etc and anything else consistent with delivering a high performing Company Secretarial function.
- Work closely with the senior team to ensure communications between the executives, Board and shareholders is excellent to ensure that the company can best deliver against its ambitious growth targets.
